These Terms & Conditions (the “Terms”) govern your access to and use of the platform, applications, websites, APIs, dashboards, and related services provided by Yinsheng E-Pay (collectively, the “Platform” or “Services”). By clicking “Agree”, registering, accessing, or using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms.
1. Definitions
User or you: any individual, entity, or organization that accesses or uses the Services.
Merchant: a User that uses the Services for business transactions or payment processing.
Transaction: any payment, transfer, refund, reversal, settlement, payout, or related processing through the Platform.
Third-Party Partners: banks, payment institutions, card networks, clearing houses, KYC/AML providers, telecom operators, and other partners engaged to deliver the Services.
Fees: charges payable by you to Yinsheng E-Pay for use of the Services, including processing fees, service fees, chargeback fees, and any other fees disclosed by us.
2. Acceptance and Changes to the Terms
We may amend these Terms to comply with laws, regulatory requirements, or business needs. We will notify you through reasonable channels such as in-Platform notice, email, or announcement.
Continued use of the Services after the effective date of any amendments constitutes acceptance of the amended Terms. If you do not accept the amendments, you must stop using the Services and request termination or account closure.
3. Eligibility, Registration, and Account Security
1. You represent that you have the legal capacity and authority to enter into these Terms. If you use the Services on behalf of an entity, you represent you have authority to bind that entity.
2. You must provide accurate, complete, and up-to-date information, including business registration details, beneficial ownership, authorized signatories, settlement account details, and any documents requested by us.
3. You are responsible for safeguarding account credentials, API keys, and access tokens. You must promptly notify us of suspected unauthorized access.
4. You must not sell, transfer, lease, or allow any third party to use your account, credentials, or API keys without our prior written consent.
4. Compliance, KYC/AML, and Prohibited Activities
You agree that we may conduct identity verification, KYC, AML/CTF screening, sanctions screening, fraud prevention checks, and ongoing monitoring as required by applicable law and partner requirements.
You must not use the Services for any illegal, fraudulent, or prohibited activities, including but not limited to money laundering, terrorist financing, gambling (where unlawful), fraud, counterfeit goods, IP infringement, illegal fundraising, unauthorized data trading, or any activity that violates applicable laws or card network rules.
We may restrict, suspend, delay settlement, hold funds, or terminate Services where we reasonably suspect prohibited activity, elevated risk, or non-compliance, or where required by law, regulators, or partners.
5. Scope of Services and Usage Rules
The Services provided (and any limits, features, and availability) are described in the Platform interface, product schedules, API documentation, order forms, or separate agreements.
You must use the Services in accordance with our rules, documentation, and instructions, and you must not:
attempt to bypass risk controls or security measures;
manipulate Transactions (including fake orders, fabricated logistics, or sham refunds);
perform unauthorized scraping, reverse engineering, or exploitation;
use the Services in a manner that could expose Yinsheng E-Pay or partners to regulatory or operational risk.
If you integrate via API/SDK, you must implement reasonable security controls (e.g., key rotation, signature verification, IP allow listing, least-privilege access).
6. Fees, Billing, and Taxes
Fees and Schedules. Fees are as disclosed on the Platform or agreed in an order form / fee schedule. We may update Fees with prior notice where required by law or contract.
Billing. We may deduct Fees from settlement amounts or invoice you, as stated in the relevant fee schedule.
Taxes. Each party is responsible for taxes imposed on it. Where withholding or reporting is required by law, you agree to provide necessary information and cooperate.
7. Settlement, Refunds, and Reconciliation
Settlement. Settlement cycle (e.g., T+0/T+1), settlement cut-off time, minimum/maximum limits, currencies, and bank processing times are subject to the relevant schedule and partner rules.
Delays and Holds. Settlement may be delayed due to holidays, bank maintenance, risk review, disputes, or regulatory requirements.
Refunds/Reversals. Refunds, reversals, and cancellations are processed according to Platform rules and partner/network requirements. Fees may be non-refundable unless otherwise stated.
Reconciliation. You must reconcile Transactions and settlement reports promptly. Any discrepancy must be reported within [X] days after the report date, with supporting evidence.
8. Chargebacks, Disputes, and Complaints (if applicable)
If a cardholder dispute, chargeback, or complaint arises, you must provide requested documentation (order records, proof of delivery, service logs, customer communications, etc.) within the time frame we specify.
We may debit disputed amounts, apply chargeback fees, and/or place a hold or reserve pending resolution.
You are responsible for product/service quality, customer support, compliance with advertising and consumer laws, and any losses caused by your acts or omissions.
9. Reserves, Security Deposits, and Risk Controls (if applicable)
We may require a rolling reserve, security deposit, delayed settlement, or other risk mitigation measures based on your risk profile, industry type, dispute rate, and compliance status.
The calculation, adjustment, use, and release of reserves/deposits will follow the applicable schedule or separate agreement.
We may retain funds as reasonably necessary to cover potential losses, disputes, refunds, chargebacks, penalties, or other liabilities.
10. Data Protection and Privacy
We will process personal data in accordance with applicable privacy laws and our Privacy Policy (if published separately).
You represent that you have obtained all required notices and consents from your customers and personnel for the collection and sharing of data necessary to use the Services.
You must protect data obtained through the Services and must not use it for unlawful purposes, including unauthorized marketing or sale of personal information.
11. Intellectual Property
The Platform, software, documentation, logos, trademarks, and related intellectual property are owned by or licensed to Yinsheng E-Pay.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely in accordance with these Terms.
You must not copy, modify, distribute, reverse engineer, or create derivative works of the Platform except as permitted by law or written agreement.
12. Service Availability and Disclaimer
The Services may be affected by network conditions, third-party systems, scheduled maintenance, and other factors. We do not guarantee uninterrupted or error-free operation.
To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied.
13. Limitation of Liability
To the maximum extent permitted by law, Yinsheng E-Pay shall not be liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, goodwill, or data).
Where liability cannot be excluded, our aggregate liability shall be limited to the total Fees paid by you to Yinsheng E-Pay in the [3/6/12]-month period preceding the event giving rise to the claim, unless a separate agreement states otherwise.
14. Indemnity
You agree to indemnify and hold harmless Yinsheng E-Pay, its directors, officers, employees, affiliates, and partners from and against any claims, losses, liabilities, damages, penalties, and expenses (including reasonable legal fees) arising out of or related to:
(a) your breach of these Terms;
(b) your products or services;
(c) your violation of laws, network rules, or third-party rights; or
(d) fraud, negligence, or misconduct by you or your personnel.
15. Suspension, Termination, and Account Closure
We may suspend or terminate your access to the Services immediately upon notice (or without notice where legally permitted) if we reasonably suspect fraud, illegal activity, material breach, elevated risk, or where required by regulators or partners.
You may request closure in accordance with Platform procedures, subject to settlement of outstanding fees and resolution of pending Transactions, disputes, reserves, or compliance reviews.
After termination, we may retain data and records as required by law and for legitimate business purposes.
16. Notices
We may provide notices via email, in-Platform messages, announcements, or other reasonable methods. You are responsible for keeping your contact details current. Notices are deemed received when sent or posted.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of Hong Kong Special Administrative Region (or [choose applicable jurisdiction]), excluding conflict-of-law principles.
Any dispute arising out of or in connection with these Terms shall be submitted to [Hong Kong courts / HKIAC arbitration / other venue].
Option A (Courts): non-exclusive jurisdiction of the courts of Hong Kong.
Option B (Arbitration): arbitration administered by HKIAC under its rules; seat: Hong Kong; language: English; number of arbitrators: [1/3].
18. Miscellaneous
If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
These Terms, together with any product schedules, policies, order forms, and separate agreements, constitute the entire agreement regarding the Services.
